These Terms of Service (“Terms”) govern your access to and use of the website sb-digital-solutions.com and all related services provided by Next Revolution Media, LLC (doing business as SB Digital Solutions™, “we,” “us,” or “our”). By accessing or using our website, you agree to be bound by these Terms.

Acceptance of Terms

By accessing our website or using any of our services, including the WebBuilder AI™, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

Description of Services

SB Digital Solutions™ provides:

Custom marketing platform development (website + Control Center™ dashboard)
AI-powered website preview generation (WebBuilder AI™)
Content management systems with attribution tracking
Monthly hosting, support, and content marketing services
Programmatic advertising services via enterprise partnerships

All platform development projects are scoped individually based on client requirements and governed by separate service agreements.

Intellectual Property Rights

All content, features, and functionality of this website — including but not limited to SpecBuilder AI™, the WebBuilder AI™, the Control Center™ platform, all software, algorithms, data models, design systems, code architecture, and documentation — are the exclusive property of Next Revolution Media, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The SpecBuilder AI™ specification generation system, the autonomous WebBuilder AI™ engine, and the Control Center™ content management platform are proprietary technologies developed by Next Revolution Media, LLC. Unauthorized reproduction, distribution, modification, reverse engineering, or commercial use of any component of these systems is strictly prohibited.

WebBuilder AI™

Website previews generated by our WebBuilder AI™ are provided for demonstration purposes only. Generated previews:

Do not constitute a deliverable, product, or binding proposal
Remain the intellectual property of Next Revolution Media, LLC until a commercial agreement is executed
May not be reproduced, distributed, or used for commercial purposes without written authorization
Are generated using AI technology and publicly available business data, and may contain inaccuracies

Use of the WebBuilder AI™ does not create a client relationship or obligate either party to any commercial engagement.

Platform Development & Ownership

Clients who engage SB Digital Solutions™ for platform development receive full ownership of their content (text, images, blog posts, and media) as specified in their service agreement. The underlying platform architecture, code frameworks, development methodologies, and proprietary tools remain the intellectual property of Next Revolution Media, LLC.

Upon full payment, clients receive:

Access to their own GitHub repository containing project code
Ownership of their Supabase database and all stored data
Full control over their deployed website on Netlify
Rights to all original content created for their project

We retain the right to showcase completed work in our portfolio unless otherwise specified in the service agreement.

User Conduct

You agree not to:

Use our services for any unlawful purpose or in violation of any applicable laws
Attempt to reverse engineer, decompile, or disassemble any of our proprietary technology
Interfere with or disrupt the operation of our website or services
Scrape, crawl, or otherwise automatically collect data from our website
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the WebBuilder AI™ to generate content for competing services

Monthly Services & Billing

Monthly hosting, support, and content marketing services are billed on a recurring monthly basis. Services may be cancelled with 30 days' written notice. Upon cancellation, clients retain access to their code repository, database, and deployment infrastructure.

Limitation of Liability

To the maximum extent permitted by applicable law, Next Revolution Media, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of (or inability to access or use) our services
Any conduct or content of any third party on our services
Any content obtained from our services, including AI-generated previews
Unauthorized access, use, or alteration of your transmissions or content

Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free. AI-generated content, including website previews, may contain inaccuracies and should not be relied upon as factual representations.

Indemnification

You agree to indemnify, defend, and hold harmless Next Revolution Media, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or your use of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Williamson County, Texas.

Dispute Resolution

Any dispute arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Williamson County, Texas, in accordance with the rules of the American Arbitration Association.

Termination

We reserve the right to terminate or suspend your access to our services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of our website after changes are posted constitutes acceptance of the revised Terms.
